Agreement to Terms

By accessing or using SnapMatch ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use our AI-powered candidate matching platform and related services (collectively, the "Service").

Description of Service

SnapMatch is an AI-powered platform that helps recruiters and hiring managers match candidates to job descriptions. Our Service includes:

• Uploading and managing job descriptions
• Uploading and processing candidate resumes and CVs
• AI-powered matching and scoring of candidates
• Candidate management and filtering tools
• Analytics and reporting features
• Related services and features as we may add from time to time

User Accounts

Registration

To use certain features of our Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Upload or transmit any viruses, malware, or other harmful code
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Collect or harvest any information from the Service for any commercial purpose without our consent
• Use the Service for any purpose that violates applicable employment or privacy laws

User Content

Your Content

You retain ownership of any content you upload to the Service, including job descriptions, candidate information, and other materials ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and process your User Content to provide the Service
• Use your User Content for AI matching, analysis, and related features
• Display your User Content as necessary to provide the Service
• Create aggregated, anonymized data for improving our Service

Content Responsibility

You are solely responsible for your User Content and the consequences of uploading it. You represent and warrant that:

• You own or have the necessary rights to upload and use the User Content
• Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
• You have obtained all necessary consents and authorizations to upload candidate information
• Your use of the Service and User Content complies with all applicable laws, including employment and privacy laws

Content Removal

We reserve the right to remove or disable access to any User Content that we believe violates these Terms or is otherwise objectionable, without prior notice. We are not obligated to monitor User Content but may do so at our discretion.

Intellectual Property

The Service and its original content, features, and functionality are owned by SnapMatch and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used without our prior written permission. All other trademarks, service marks, and logos used in the Service are the property of their respective owners.

Subscription and Payment

Subscription Plans

We offer various subscription plans with different features and usage limits. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.

Payment Terms

• You agree to pay all fees associated with your subscription
• All fees are exclusive of applicable taxes, which you are responsible for paying
• We reserve the right to change our pricing with 30 days' notice
• If payment is not received, we may suspend or terminate your account
• Refunds are provided only as required by law or at our sole discretion

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

• Scheduled maintenance or updates
• Unforeseen technical issues or failures
• Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

AI and Matching Accuracy

Our Service uses artificial intelligence and machine learning to match candidates to job descriptions. You acknowledge and agree that:

• AI matching results are provided for informational purposes and should not be the sole basis for hiring decisions
• Matching scores and recommendations are estimates based on available data and algorithms
• We do not guarantee the accuracy, completeness, or suitability of any matching results
• You are responsible for reviewing and verifying all candidate information and qualifications
• You should conduct your own due diligence and comply with all applicable employment laws

Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

You are responsible for ensuring that you have the right to upload and process candidate information in accordance with applicable privacy laws, including but not limited to GDPR, CCPA, and other data protection regulations.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNAPMATCH, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• HIRING DECISIONS MADE BASED ON INFORMATION FROM THE SERVICE
• ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless SnapMatch and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable laws or regulations.

Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

By Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• All provisions of these Terms that by their nature should survive termination shall survive

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
